Contracts Specialist – Private Equity – Boston, MA
We are seeking candidates for a Contracts Specialist position with a highly successful private equity firm located in Boston, MA. The position will draft, review, revise, and negotiate general and complex corporate agreements for the organization. The Contracts Specialist will be involved with a variety of corporate agreements, including NDAs, SaaS agreements, subscriptions, market data agreements, leases, engagement letters with auditors, consulting agreements, data protection agreements, fund operations agreements, employment search agreements, and event agreements. The ideal candidate will have 3-5 years of contracts experience within financial services.
This is a 6-month contract position that will pay $40-50/hr (depending one experience) within a 40-hour work week. This position is required to be onsite 3 days/week in the Boston office.
Responsibilities:
- Draft, review, and negotiate various contracts and agreements, including NDAs, consulting agreements, employment search agreements, media releases, hotel agreements, event contracts, and sponsorship agreements
- Review and close hotel, event, and sponsorship agreements according to firm playbook, and maintain strong communication with events and marketing teams throughout contracts processes
- Partner with business teams to negotiate agreements and to draft termination letters (as requested)
- Prepare and review SOWs and Order Forms, and update and maintain accurate contracts log
- Learn and understand the risk tolerance of each department in the firm
- Create and store standard contract terms to reflect the needs of each department
- Provide legal support for the opening of new offices in the United States and in other international jurisdictions, including reviewing short-term leases
- Contribute to important policy initiatives, operational matters, and vendor relationships
- Provide legal support across the organization, including quickly and effectively identifying complex legal and compliance issues, and providing advice in a manner that integrates legal risk management with the organization’s business objectives
- Manage and complete any additional projects or legal matters as needed, including general corporate matters.
Qualifications:
- Bachelor’s degree required
- 3 – 5 years of related contracts experience within financial services
- Strong experience drafting, reviewing, negotiating, and closing various corporate agreements within financial services
- Excellent communication (written and verbal) and interpersonal skills
- Great attention-to-detail and great time management skills
- Self-motivated and highly organized
- Exceptional research, writing, and counselling skills
- Paralegal Certificate is a plus
- Ability to work independently and collaboratively
